These Terms and Conditions (“Agreement”) constitute a legally binding contract between Clasendra Technologies Pvt. Ltd., headquartered in Mohali, Punjab, India (“Clasendra”, “we”, “us”, or “our”), and the subscribing fitness club, gym owner, or enterprise entity (“Customer” or “you”). By accessing our website, registering for a 14-day free trial, or deploying our cloud management dashboard, you expressly agree to be bound by all terms contained herein.

Clasendra operates on a true multi-tenant SaaS architecture providing isolated database schemas per gym studio. Subject to timely payment of subscription fees, we grant you a non-exclusive, non-transferable right to access and use our software:

• Pay-Per-Active-Member Billing: Subscription tiers are calculated strictly based on active, non-expired members enrolled in your studio during the monthly or annual billing cycle. Frozen, expired, or deactivated members do not incur active member charges.
• 14-Day Free Trial: All new accounts are entitled to a full-featured 14-day free trial without credit card prerequisites. At the end of the trial period, continued dashboard access requires selecting a paid plan.
• Service Availability: We maintain a 99.9% uptime SLA for cloud dashboard access, supported by automated edge caching for offline biometric check-ins.

Clasendra utilizes authorized payment aggregators including Razorpay Software Private Limited (“Razorpay”) for processing Indian payments via UPI, Credit/Debit Cards, Net Banking, and NEFT/IMPS. In accordance with Reserve Bank of India (RBI) regulations and Razorpay merchant onboarding standards:

• Dynamic QR Invoicing: Invoices generated by Clasendra feature unique Razorpay UPI QR codes for direct settlement into your designated gym bank account.
• GST Compliance: All subscription invoices issued by Clasendra include applicable Indian Goods and Services Tax (GST) breakdowns (CGST/SGST/IGST). Gym owners must provide valid GSTIN credentials to claim input tax credits.
• Recurring E-Mandates: Where auto-debit plans are enabled, transactions adhere rigidly to RBI guidelines governing e-mandates on cards and UPI, including pre-debit notifications and mandatory two-factor authentication for initial setup.

Clasendra integrates with standard biometric fingerprint readers, RFID scanners, and turnstile relay boards. While our edge sync agent verifies member access locally in sub-0.4 seconds and caches logs during internet outages, Clasendra is not liable for physical hardware malfunctions, third-party turnstile mechanical wear, or facility electrical failures. Hardware units purchased directly from Clasendra carry a manufacturer warranty as detailed in our Refund Policy.

Our platform integrates the official Meta WhatsApp Business Cloud API to trigger automated fee reminders, payment links, and class updates. Customers are strictly prohibited from utilizing Clasendra messaging modules to broadcast unsolicited spam, promotional blasts without explicit opt-in, or illegal content. Violation of Meta Business Messaging Policies or Indian telecommunication rules will result in immediate suspension of messaging capabilities without refund.

All proprietary software, algorithms, UI designs, and documentation remain the exclusive property of Clasendra Technologies Pvt. Ltd. For customers subscribed to Growth or Enterprise plans featuring custom white-label iOS and Android apps, the customer retains full ownership of their gym brand name, trademark, and logo, while Clasendra retains underlying intellectual property rights to the application framework.

To the maximum extent permitted by applicable Indian law, Clasendra’s aggregate liability arising out of or related to this Agreement shall not exceed the total subscription fees paid by the Customer during the three (3) months immediately preceding the event giving rise to the claim. We shall not be liable for indirect, incidental, punitive, or consequential damages, including loss of business profits or data corruption caused by unauthorized third-party intrusion.

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes or claims arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Mohali, Punjab / Chandigarh, India.
